1) Agreement & Definitions
These Terms of Service (“Terms”) govern access to and use of Attendify Vision’s software-as-a-service, including the Flutter mobile application used by employees for attendance capture (the “App”) and the web-based administration console (the “Admin Panel”, together with the App, the “Service”). “Customer” means the company or legal entity that purchases, subscribes to, or otherwise uses the Service to manage its workforce. “User” means any individual acting under Customer’s account (employees, contractors, admins, supervisors, etc.).
By clicking “I Agree”, creating an account, or using the Service, Customer agrees to these Terms. If Customer has a separately signed master agreement with us, that agreement will control to the extent of any conflict.
2) Scope of Service
The Service provides identity-verified, geofenced attendance capture, device binding, offline queueing, supervisor assist, role-based access control, analytics, and export capabilities. Plan features are as published on our Pricing page and may include:
- Basic (from 6 AED per user/month): AI attendance capture, geofencing, device binding, ERP-ready attendance report export.
- Enterprise (custom): everything in Basic plus advanced modules as agreed (e.g., payroll, leave management, and other enterprise integrations).
Modules such as payroll/leave may be included in Enterprise or a separately labeled “Premium” module depending on your order form. Any free trials, demos, beta or preview features are provided “as-is”.
3) Accounts, Access & Security
- Customer is responsible for all activity under its tenant, maintaining accurate User information, and promptly removing access for departed personnel.
- Customer will configure roles and permissions (e.g., owner → manager → admin → supervisor → employee) and enforce strong authentication practices. 2FA for admins is recommended.
- We implement device binding (one device per account) to reduce fraud. Customer is responsible for resetting/rebinding when devices are lost or replaced.
- Customer must notify us promptly of any suspected compromise or misuse.
4) Customer Obligations
- Lawful basis & notices: Customer acts as data controller for its workforce data and is solely responsible for providing legally sufficient employee notices and obtaining any required consents for the use of geolocation and face verification features under applicable law.
- Accuracy & policies: Customer sets geofences and policies. Customer acknowledges that GPS and facial comparison have inherent accuracy limitations and should be used together with appropriate HR policies.
- Content: Customer is responsible for all data uploaded to the Service (including profile photos) and warrants that it has the right to process such data.
- Cooperation: Customer will reasonably cooperate with us to address security or compliance issues and to fulfill data subject requests (see Section 7).
5) Fees, Billing & Taxes
- Fees are per active user per billing period unless otherwise stated on your order. Prices are shown exclusive of taxes, duties or withholdings, which Customer must pay as required by law.
- Subscriptions are prepaid and auto-renew monthly or annually (as selected) until canceled. Upgrades take effect immediately; downgrades at the next renewal.
- No refunds for partial months, unused capacity, or downgrades during a term unless required by law.
- Late or failed payments may result in suspension after reasonable notice.
6) Term, Suspension & Termination
- Term: These Terms start when Customer first uses the Service and continue while any subscription is active.
- Convenience: Customer may cancel renewal at any time via the Admin Panel; service continues until the end of the paid term.
- Cause: We may suspend or terminate for material breach (including AUP violations or non-payment) after written notice and a reasonable cure period, or immediately if required to comply with law or protect the Service.
- Effect: Upon termination or non-renewal, Customer may export its attendance data via built-in reports. We will retain Customer Data per our Privacy Policy and then delete in accordance with Section 7 (Retention).
- Survival: Sections 4, 7–16 survive termination.
7) Data Protection & Processing
Our Privacy Policy forms part of these Terms. In brief:
- Roles: Customer is the data Controller; Attendify Vision is a Processor/Service Provider.
- Face & liveness: Employer-provided profile photos are stored to enable identity verification. Live camera frames used for liveness/comparison are processed on-device only and discarded immediately after the decision. We do not store facial templates/embeddings.
- Sub-processors: We use Google Firebase/Google Cloud for hosting, authentication, Firestore, Storage and Functions. A current list is available on request.
- International transfers: Data may be processed in the configured Firebase region and other Google Cloud locations with appropriate safeguards.
- DPA: If your law requires a Data Processing Addendum, contact us to obtain a signed copy.
8) Security, Uptime & Support
- We employ encryption in transit and at rest, role-based access controls, tenant-aware Firestore rules, audit logging, and regular patching.
- Target uptime is 99.5% measured monthly, excluding planned maintenance and factors outside our reasonable control (e.g., cloud provider incidents, ISP failures, OS/app-store outages, force majeure).
- Standard support is provided during UAE business hours (GMT+4). Enterprise support terms may be set in an order form.
- Security incidents: we will notify Customer without undue delay upon confirmation of a breach affecting Customer Data, and provide available information and cooperation.
9) Acceptable Use
Customer and Users must not:
- reverse engineer, decompile, or circumvent technical protections;
- interfere with or disrupt the Service or other customers;
- use the Service for unlawful surveillance, discriminatory practices, or violating labor/employment laws;
- upload malicious code, infringing content, or personal data not needed for attendance/HR purposes;
- misrepresent identity, attempt to spoof liveness, or bypass device binding.
The Service is a tool to support attendance workflows; it does not constitute legal advice, HR policy, or compliance verification. Customer remains responsible for timekeeping compliance in its jurisdiction.
10) Intellectual Property, Feedback & Open Source
- We and our licensors own all IP rights in and to the Service. No rights are granted except the limited right to use the Service during an active subscription.
- Customer retains rights in Customer Data. Customer grants us a limited license to process Customer Data solely to provide and secure the Service.
- Feedback may be used by us to improve the Service without obligation.
- Open-source components are provided under their respective licenses; copies of licenses are available upon request.
11) Third-Party Services
The App is distributed through Apple App Store and Google Play and is subject to their terms and policies. Certain optional integrations (e.g., payroll/ERP) are provided by third parties; we are not responsible for third-party services, and Customer’s use is governed by those providers’ terms.
12) Disclaimers & Warranties
- The Service is provided “as-is” and “as available” except as expressly stated in an order form. We disclaim all implied warranties (merchantability, fitness for a particular purpose, non-infringement).
- Biometric comparison, geolocation and device signals have inherent limitations; we do not warrant perfect accuracy or uninterrupted operation.
- Beta/preview features are experimental and provided without warranties.
13) Limitation of Liability
- To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary or punitive damages, loss of profits, revenue, goodwill, or data, even if advised of the possibility.
- Except for (i) Customer’s payment obligations, (ii) breach of AUP/IP rights, or (iii) indemnity obligations, each party’s aggregate liability arising out of or relating to the Service will not exceed the amounts paid by Customer to us for the Service in the 12 months preceding the event giving rise to liability.
14) Indemnity
- By us: We will defend Customer against third-party claims alleging that the Service, as provided by us, directly infringes a third party’s IP right, and pay resulting damages finally awarded, provided Customer promptly notifies us and cooperates. We may modify or replace the Service to avoid infringement, or terminate and refund unused prepaid fees.
- By Customer: Customer will defend us against claims arising from Customer Data, unlawful use, or use in violation of these Terms or law, and pay resulting damages finally awarded.
15) Compliance & Export
Customer represents it is not located in, and will not permit Users to access the Service from, embargoed countries or restricted lists. Customer will comply with anti-corruption, sanctions, and applicable labor/privacy laws.
16) Changes, Notices & Miscellaneous
- Changes: We may update these Terms or features to improve security, comply with law, or enhance functionality. Material changes will be notified via the Admin Panel or email and will take effect on the stated effective date. Continued use after the effective date constitutes acceptance.
- Governing law & venue: These Terms are governed by the laws of the Emirate of Abu Dhabi and applicable federal laws of the United Arab Emirates, without regard to conflict-of-law rules. Courts of Abu Dhabi have exclusive jurisdiction.
- Assignment: Neither party may assign these Terms without the other’s consent, except to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets (with notice).
- Confidentiality: Each party will protect the other’s non-public information with reasonable care and use it only to perform under these Terms.
- Force majeure: Neither party is liable for failures due to events beyond reasonable control (e.g., natural disasters, war, strikes, internet/hosting outages).
- Publicity: We may use Customer’s name and logo in lists of customers unless Customer opts out by notice.
- Order of precedence: If there is a conflict, an executed order form or master agreement controls, then these Terms, then the Privacy Policy.
- Severability & waiver: If any provision is unenforceable, the remainder remains in effect. Failure to enforce is not a waiver.
